1.1 你承认依据本EULA协议，你只拥有非排他性的及有限的权利，在由 Lawspirit或其授权的商家或转售商供应给你的单一ftServer系统及适用的外围设施（包含但不限于存储设施）（合称系统）上用商品的目的代码版本。你可以为存档或备份的目的以目的代码的形式制作商品的一份复制品。你不能除掉或遮掩商品所包括的任何专有权利标记、限制权利图注（如下文第 1.4节所概念）或其他标记（统称标记）。你需要在商品的所有复制品中包括所有标记。你不能对商品进行反向工程、反编译或反汇编，或试图获得对商品原码的访问权，但适使用方法律明文准许除外，并且只能在适使用方法律明文准许的范围之内，并且假如适使用方法律准许约定舍弃该权利，你谨此舍弃如此做的权利。
1.2 假如你未违反本EULA项下你的任何责任或义务，你可以永久出售本 EULA项下的商品及所有权利，仅作为一次性销售或出售系统（商品安装其上）的一部分，并且只能出售给赞同受本EULA所规定的所有条约与条件约束的受叫人。进行该出售时，你赞同你将（1）出售系统的所有商品，（2）不保留商品的任何复制品，及（3）向你的受叫人出售本EULA项下所有权利并让与本 EULA项下的所有义务。未经 Lawspirit事先书面赞同，你不能以其他方法出售或让与商品或本EULA 和/或本协议项下的任何权利或义务。

1.4 商品包含完全由私人经费开发、一般为非政府目的用法并许可给公众的商用计算机软件。提供给美国政府的所有软件均按FAR， 48 CFR 52.227-14（1987年6月）或DFAR 48 CFR 252.227-7013（1988年10 月）（如适用）所规定的、在附有有限权利的状况下提供。未明确授与的所有权利均为保留权利。
2. 保密你承认商品包括Lawspirit及其许可爱的商业秘密及专有信息与资料（保密信息）。你赞同不向任何第三方披露该保密信息。在不限制上述条约的条件下，你赞同起码将以对待你自己同等要紧的保密信息同样的小心对待保密信息，但在任何状况下你均将以适当的小心对待该保密信息。虽有上述规定，但对下述任何保密信息你均无任何责任：（1）当保密信息披露时已为公众所知或并不是因为你的过错已进入公众范围，（2）当披露时，你是在未有限制的状况下了解保密信息，（3）在未用或未参考任何保密信息的状况下，由你独立开发的保密信息，或（4）依据法院、行政机构或其他政府部门的有效命令或需要披露的保密信息，但条件是你将准时向 Lawspirit提供该需要或命令的公告，以使Lawspirit及其许可爱能寻求保护令或以其他方法预防或限制该披露。
3. 侵权赔偿
3.1 Lawspirit将抗辩对你提起的、指控商品侵有你所在司法管辖地的某项专利或版权的任何索赔，并将赔偿你在最后裁定中所受的所有损害和成本，但条件是准时以书面形式将索赔公告Lawspirit，并且在该索赔的抗辩和/或和解中给予Lawspirit充分授权、信息及帮助，该抗辩和/或和解将完全在 Lawspirit的控制之下。假如发生索赔，或按Lawspirit建议可能发生索赔，你赞同允许Lawspirit（完全由其自主决定并承担成本），（1）为你获得继续用商品的权利，或（2）更换或修改商品以使其不侵权。假如完全按Lawspirit自主判断，上述任何一种方法均不具商业实用性， Lawspirit可终止本许可，去除商品并在考虑常见同意的会计惯例的状况下，按商品用期限平均每年数额折旧或摊提后向你退还商品用费。

4. 有限保证

5. 弃权与责任限制：

7. 一般条约与条件
7.1 本EULA构成你与Lawspirit之间就本协议所议事情的完整协议，并取代先前及目前所有书面及口头声明、建议、协商与通讯，包含但不限于任何订单的条约与条件。你承认本EULA的条约与条件的目的是有益于 Lawspirit的联属公司、子公司及许可爱作为本EULA第三方受益人的利益，它们之中的任何一方及所有各方均有权作为其代表援引该条约与条件并对你实行该条约与条件。你还承认，Lawspirit的联属公司、子公司及许可爱同意其第三方受益人权利，并且该权利将被视为不可撤销。

7.3 因Lawspirit没办法合理控制的状况，包含但不限于天灾、战争、动乱、恐怖主义、禁运、民事或军事当局行为、失火、水灾或事故，Lawspirit未履行其在本EULA项下义务，Lawspirit不承担任何责任。你赞同Lawspirit有权获得通过其他方法其可得到的所有法律与衡平法弥补以保护自己及其许可爱的常识产权、专有权及保密信息，包含但不限于寻求并获得禁令性救济与对你实行该禁令性救济的权利，而无必要提供担保或其他该类保证。
7.4 本EULA因任何缘由终止后，第1.1、1.3、1.4、2、3.2、5、6及7节条约将继续有效。除适使用方法律禁止外，并且只在适使用方法律禁止的状况下，本 EULA将在所有方面受马萨诸塞州及美利坚合众国法律管辖，按其解释并按其实行，不包含其法律选择原则。联合国国际货物销售合同公约不适用于本EULA或商品。对于在本EULA项下所发生的或与EULA或商品有关的任何争议的解决，你赞同坐落于美国马萨诸塞州萨福克县的州及联邦法院有管辖权并为审判法院；但条件是，为实行本 EULA，Lawspirit、其联属公司、子公司及许可爱可在对你有管辖权的任何法院提起法律诉讼。

THE PERSON ENTERING INTO THIS EULA REPRESENTS AND WARRANTS THAT HE IS AUTHORIZED5 TO ENTER INTO A BINDING6 AGREEMENT ON BEHALF OF HIS EMPLOYER AS THE LICENSEE.
*This EULA applies to the Lawspirit Software Products and any third party software programs （such as EMC software products） that are supplied by Lawspirit or its resellers but that are not packaged with a separate end-user license agreement （the Lawspirit Software Products and such third party software programs collectively hereinafter referred to as the Products）。
1. Software License. Except for the limited use right set forth7 in this Section 1， Lawspirit and its licensors （Licensors） shall own all right， title and interest in and to the Products and any copies of the Products. Any updates， supplements， corrections or bug8 fixes for the Products will be governed by the terms of this EULA.
1.1
You acknowledge that you have only a non-exclusive and limited right to use the object code version of the Products on a single ftServer system and the applicable peripheral9 devices （including without limitation storage equipment） sold to you by Lawspirit or its authorized distributor or reseller （collectively， the System） in accordance with this EULA. You may make a single copy of the Products in object code form for archival or backup purposes. You may not remove or obscure any proprietary10 rights notice， Restricted Rights legend （as defined in section 1.4 below） or other notice （collectively， Notices） included with the Products. You must include all Notices on all copies of the Products. You may not reverse engineer， decompile or disas百度竞价推广ble the Products or attempt to gain access to the source code for the Products， except and only to the extent that it is expressly permitted by applicable law， and， to the extent applicable law permits contractual waiver of such right， you hereby waive11 your rights to do so.
1.2 Provided you have not breached12 any of your duties or obligations under this EULA， you may permanently14 transfer the Products and all rights under this EULA only as part of a one-time sale or transfer of the System on which the Products are installed and only to a transferee who agrees to be bound by all of the terms and conditions set forth in this EULA. Upon such transfer， you agree that you will （1） transfer all of the Products with the System， （2） retain no copies of the Products， and （3） assign all rights and delegate all obligations under this EULA to your transferee. You will not otherwise transfer or assign the Products or this EULA and/or any rights or obligations hereunder without the prior written consent of Lawspirit.
1.3 Without prejudice to any other rights， Lawspirit has the right to terminate this EULA and refuse to ship any Products if you fail to pay any relevant license fees or other charges. Your rights under this EULA will automatically terminate if you breach13 any of your material obligations under this EULA. Upon any termination of this EULA， you will return to Lawspirit or its designee， or if instructed by Lawspirit to do so， destroy all copies of the Products promptly15 after such termination.
1.4 The Products include commercial computer software that has been developed entirely16 at private expense and is regularly used for non-governmental purposes and licensed17 to the public. All software provided to the U.S. Government is provided with Restricted Rights as provided in FAR， 48 CFR 52.227-14 （JUNE 1987） or DFAR 48 CFR 252.227-7013 （OCT 1988）， as applicable. All rights not expressly granted are reserved.
2. Confidentiality18. You acknowledge that the Products embody20 trade secrets and proprietary information and materials of Lawspirit and its Licensors （Confidential19 Information）。 You agree not to disclose such Confidential Information to any third party. Without limiting the foregoing， you agree to treat the Confidential Information with at least the same degree of care with which you treat your own confidential information of like importance， but in no event will you treat such Confidential Information with less than reasonable care. Notwithstanding the above， you will have no liability with regard to any Confidential Information that （1） was in the public domain21 at the time it was disclosed or has entered the public domain through no fault of you， （2） was known to you， without restriction22， at the time of disclosure， （3） was independently developed by you without any use of or reference to the Confidential Information， or （4） is disclosed pursuant to a valid23 order or requirement of a court， administrative24 agency， or other governmental body， provided that you promptly furnish to Lawspirit notice of such requirement or order enabling Lawspirit and its Licensors to seek a protective order or otherwise prevent or restrict such disclosure.
3. Infringement26 Indemnity27.
3.1 Lawspirit will defend any claim brought against you alleging28 that the Products infringe25 a patent or copyright in your jurisdiction29， and will indemnify you against all damages and cosplayts finally awarded against you provided that Lawspirit is notified promptly in writing of the claim and given full authority， information and assistance for the defense30 and/or settlement of such claim， which defense and/or settlement will be under the sole control of Lawspirit. If a claim has occurred， or in Lawspirit' opinion is likely to occur， you agree to permit Lawspirit， at its sole option and expense， to （1） procure31 for you the right to continue using the Products， or （2） to replace or modify the Products so that they are non-infringing. If in Lawspirit' sole judgment32 neither of the foregoing alternatives is commercially practicable， Lawspirit may terminate this license， remove the Products and refund to you the product use fees as depreciated33 or amortized34 by an equal annual amount over the lifetime of the Products taking into account generally accepted accounting35 practices.
3.2 Neither Lawspirit， nor its affiliates36， subsidiaries nor the Licensors will have any liability for any claim based upon or arising out of （1） the combination， operation or use of the Products with （a） any Microsoft or other third party software programs， （b） any equipment， devices or software not supplied by Lawspirit， or （2） the alteration37 or modification38 of any Products. To the full extent permitted by law， this section states the entire liability of Lawspirit， its affiliates， subsidiaries and the Licensors and your sole remedy with respect to any claim of infringement.
4. Limited Warranty
4.1 Lawspirit warrants that the media containing each Product will be free from defects in material and workmanship for thirty （30） days from the date of receipt. Lawspirit' sole liability and your exclusive remedy for such defective39 Product media will be to replace the defective media free of charge. You may obtain information for reporting warranty defects from your Products supplier or vendor or from the Lawspirit web site at www.lawspirit.com。
4.2 Lawspirit does not represent or warrant that the Products will operate without interruption or will be error free. This warranty does not apply to defects attributable to （1） modification or alteration of the Products made without the prior written approval of Lawspirit， （2） accident， neglect， misuse40 or abuse， or （3） exposure to conditions outside the range of the environmental， power and operating specifications41 provided by Lawspirit.
5. Disclaimer and Limitation of Liability
5.1 Except as expressly set forth in this EULA， neither Lawspirit， its affiliates， subsidiaries nor the Licensors make any other warranties43， express or implied， including any implied warranties of merchantability and fitness for a particular purpose. Lawspirit， its affiliates， subsidiaries and the Licensors expressly disclaim42 all warranties not stated in this EULA. Any implied warranties that may be imposed by law are limited to the terms contained in this EULA to the maximum extent permitted by law.
5.2 Except for damages or losses related to death or bodily injury， in no event will Lawspirit， its affiliates， subsidiaries or the Licensors， be liable for any special， indirect， punitive44， incidental or consequential45 damages or losses （including without limitation loss of use， data， profit， savings46 or business）， whatever the basis of the claim or action （such as breach of warranty， condition， contract， infringement and tort， including strict liability and negligence47， or other legal theory） even if advised of the possibility of such damages or if such possibility was reasonably foreseeable. To the maximum extent permitted by law， the liability of Lawspirit， its affiliates， subsidiaries and the Licensors for damages or losses for any cause whatsoever48， and regardless of the basis of the claim or action will be limited to the amount you actually paid for the specific Product that caused the damages or losses. Because some states or countries do not allow a limitation on the duration of an implied warranty or the exclusion49 of incidental or consequential damages， the above limitations and/or exclusions50 may not apply to you.
6. import / Export You acknowledge that the Products are of U.S. origin and are subject to U.S. Export Administration， international and national import and export control laws and regulations， including end-user， end-use and destination restrictions51 issued by the U.S. and other governments （import and Export Controls）。 You agree that you will not export， import， directly or indirectly52， re-export， pert， or transfer the Product or， any materials， items or technology relating to Lawspirit' or the Licensors' business or related technical data or any direct product thereof to any destination， company or person restricted or prohibited by the import and Export Controls.
7. General Terms and Conditions
7.1 This EULA constitutes the entire agreement between you and Lawspirit with respect to the subject matter hereof and supersedes53 all previous and contemporaneous written and oral representations， proposals， negotiations54 and communications， including， without limitation， the terms and conditions of any purchase order. You acknowledge that the terms and conditions of this EULA are intended to inure55 to the benefit of Lawspirit' affiliates， subsidiaries and the Licensors as third party beneficiaries of the EULA， any and all of which will be entitled to invoke56 such terms and conditions on their behalf and enforce such terms and conditions against you. You further acknowledge that Lawspirit' affiliates， subsidiaries and the Licensors accept their third party beneficiary rights and that such rights will be deemed irrevocable.
7.2 Lawspirit may assign this EULA or any of the rights or obligations hereunder， and any causes of action arising hereunder， to any third party without necessity or obligation of notice to you. The waiver or failure of either party to exercise in any respect any right provided for herein will not be deemed a waiver of any further right hereunder. The invalidity or unenforceability of any provision of this EULA will not affect the validity or enforceability of any other provision， the remaining provisions being deemed to continue in full force and effect.
7.3 Lawspirit will not be responsible for any failure to perform its obligations under this EULA due to circumstances beyond its reasonable control， including without limitation acts of God， war， riot， terrorism， embargoes57， acts of civil or military authorities， fire， flood or accidents. You agree that Lawspirit will be entitled to all legal and equitable58 remedies otherwise available to it to protect the intellectual property， proprietary rights and Confidential Information of itself and its Licensors， including， without limitation， the right to seek and obtain injunctive relief and enforce the same against you without the necessity of having to post bond or other such guarantee.
7.4 Sections 1.1， 1.3， 1.4， 2， 3.2， 5， 6， and 7 will survive any termination of this EULA. Except and only to the extent prohibited by applicable law， this EULA will in all respects， be governed by and construed59 and enforced in accordance with the laws of the Commonwealth60 of Massachusetts and the United States of America， excluding the choice of law principles thereof. The United Nations Convention on the International Sale of Goods will not apply to this EULA or the Products. You consent to the jurisdiction and venue61 of the state and federal courts in and for Suffolk County， Massachusetts， U.S.A. for the resolution of any dispute arising under or related to this EULA or the Products； provided， however， that Lawspirit， its affiliate， subsidiaries and the Licensors may initiate legal action in any court with jurisdiction over you for the enforcement of this EULA
